Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NBAI LLC, a limited liability company organized under the laws of the United States ("Company," "we," "us," or "our"), concerning your access to and use of the Nova Blaze AI website (www.novablaze.ai) and our AI voice agent services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Services Description

Nova Blaze AI provides custom AI-powered voice agent solutions designed to automate business communications. Our Services include but are not limited to:

  • Custom AI voice agent development and deployment
  • Customer support automation
  • Appointment scheduling systems
  • Order taking and processing
  • Virtual receptionist services
  • Lead qualification and screening
  • Integration with existing business systems (CRM, phone systems, calendars)
  • Ongoing maintenance, monitoring, and optimization

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

If you are using our Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

5. Fees and Payment

Setup Fees: One-time setup fees range from $420 to $888 depending on complexity and customization requirements.

Monthly Subscription: Recurring monthly fees range from $349 to $1,999+ based on your selected plan and usage volume.

Payment Terms:

  • Setup fees are due upon contract signing
  • Monthly subscription fees are billed in advance on the first day of each billing cycle
  • All fees are non-refundable except as required by law
  • Prices are subject to change with 30 days' notice
  • Late payments may result in service suspension or termination
  • You are responsible for all applicable taxes

6. Service Level and Availability

While we strive to provide 24/7 service availability, we do not guarantee uninterrupted access. We reserve the right to:

  • Perform scheduled maintenance with advance notice
  • Suspend Services for emergency maintenance
  • Modify or discontinue features with reasonable notice

We are not liable for any downtime, service interruptions, or data loss except as explicitly stated in your service agreement.

7. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, fraudulent, or deceptive content
  • Harass, threaten, or abuse others
  • Distribute spam or unsolicited communications
  • Interfere with or disrupt our Services or servers
  • Attempt to gain unauthorized access to our systems
  • Use our Services for illegal telemarketing or robocalling
  • Impersonate any person or entity

Violation of this policy may result in immediate termination without refund.

8. Intellectual Property

Our IP: All content, software, trademarks, logos, and technology used in our Services remain the exclusive property of NBAI LLC. You are granted a limited, non-exclusive, non-transferable license to use our Services solely for your business purposes.

Your IP: You retain all rights to your business data, content, and materials provided to us. By using our Services, you grant us a license to use your data solely to provide and improve our Services.

Custom Agents: AI voice agents developed specifically for your business are licensed to you for use during your active subscription. Upon termination, you must cease using the agents.

9. Data and Privacy

Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your data as described in the Privacy Policy.

You are responsible for ensuring that your use of our Services complies with all applicable data protection laws, including obtaining necessary consents from your customers for call recording and AI interaction.

10. Warranties and Disclaimers

Limited Warranty: We warrant that our Services will perform substantially as described in your service agreement for 90 days from deployment.

DISCLAIMER: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NBAI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for all claims arising from your use of our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless NBAI LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your business operations and customer interactions

13. Term and Termination

Term: These Terms remain in effect while you use our Services.

Termination by You: You may cancel your subscription at any time with 30 days' written notice. No refunds will be provided for the current billing period.

Termination by Us: We may suspend or terminate your access immediately if you violate these Terms or for non-payment.

Effect of Termination: Upon termination, your right to use our Services ceases immediately. We will retain your data for 30 days for recovery purposes, after which it will be permanently deleted.

14. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

Arbitration: Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the United States, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in class actions or class arbitrations.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which NBAI LLC is registered, without regard to conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our Services at least 30 days before they take effect. Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms.

17. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and NBAI LLC.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
